1. Overview & Purpose
These Installer Partner Terms ("Terms") govern the professional referral and service relationship between Auto Retrofit ("we", "us", "our") and independent automotive workshops, auto electricians, and accessory installation partners ("Installation Partner", "Partner", "you").
The purpose of this agreement is to establish service standards, define clear liability boundaries, protect customer referrals generated by Auto Retrofit, and ensure seamless installation support for our mutual clients across Australia.
2. Partner Qualifications & Insurance Requirements
To remain active within the Auto Retrofit preferred installer network, Installation Partners must:

Maintain an active Australian Business Number (ABN) registered within the automotive, electrical, or trade industry.

Employ qualified, licensed auto electricians or certified automotive technicians.

Maintain current legal required insurance, covering customer vehicles while under their care, custody, and control.
3. Auto Retrofit Referred Customers & Non-Circumvention
3.1 Definition of an AR-Referred Customer
An "AR-Referred Customer" means any prospective customer first introduced to the Installation Partner by Auto Retrofit, or whose contact details, vehicle specifications, or installation enquiry were supplied to the Installation Partner by Auto Retrofit.
3.2 Scope of Referral
AR-Referred Customers are directed to the Installation Partner for the sole purpose of providing professional installation services for products supplied by Auto Retrofit, unless otherwise agreed in writing.
3.3 Customer Non-Circumvention & Anti-Diverts

The Installation Partner agrees that it will not knowingly use an Auto Retrofit referral to divert the product transaction away from Auto Retrofit, including by actively encouraging the customer to purchase a competing or substitute product from the Installation Partner or another third-party supplier.

Customer-Initiated Enquiries: Where an AR-Referred Customer independently asks the Installation Partner about purchasing a product directly, obtaining an alternative product, or requesting a lower product price, the Installation Partner must refer the product enquiry back to Auto Retrofit.
3.4 Independent Customer Protection
This restriction applies strictly to customers introduced or referred by Auto Retrofit. It does not prevent or restrict the Installation Partner from supplying products or services to customers independently generated by the Installation Partner.
Auto Retrofit respects the Installation Partner's independently generated client relationships and expects the Installation Partner to extend the same respect to customer referrals generated by Auto Retrofit.
4. Protection of Customer Data & Privacy
4.1 Permitted Use of Customer Information
All customer information provided by Auto Retrofit—including customer names, phone numbers, email addresses, vehicle details, and physical locations—is confidential. The Installation Partner agrees to use this information strictly for the sole purpose of contacting the customer to schedule, quote, or perform the requested installation services.
4.2 Non-Disclosure & Data Security

Strict Confidentiality: The Installation Partner must not disclose, sell, transfer, rent, or share AR-Referred Customer details with any third party, marketing database, or affiliate without explicit prior written permission from Auto Retrofit and the customer.

Data Security: The Installation Partner must implement reasonable administrative, technical, and physical security measures to safeguard customer personal information against unauthorized access, loss, misuse, or data breaches.

Marketing Restrictions: The Installation Partner agrees not to add AR-Referred Customers to automated marketing lists, email newsletters, or promotional campaigns for third-party products without the customer's express opt-in consent.
5. Referral Breach Consequences
Where Auto Retrofit reasonably determines that an AR-Referred Customer has been knowingly diverted away from the original Auto Retrofit product transaction or customer data privacy has been compromised by an Installation Partner, Auto Retrofit reserves the right to take any of the following actions:

Immediately withdraw the relevant installation referral;

Suspend all future customer referrals to the Installation Partner;

Revoke "Preferred" or "Authorised Installer" status; and/or
-
Terminate the Installation Partner relationship entirely.
Auto Retrofit may contact the Installation Partner to discuss the circumstances prior to issuing formal termination or removal from the referral network.
6. Workmanship & Liability Boundaries
6.1 Independent Contractor Relationship
Installation Partners operate strictly as independent contractors. Nothing in this agreement creates an employer-employee, agency, joint venture, or franchise relationship between Auto Retrofit and the Installation Partner.
6.2 Installation Workmanship
The Installation Partner assumes full legal and financial responsibility for the quality of its installation workmanship, vehicle handling, wiring modifications, and reassembly.
Auto Retrofit accepts no liability for physical, electrical, or vehicle computer module (ECU/BCM) damage caused to a customer's vehicle as a result of improper fitting, incorrect wiring, or installer error.
7. Warranty & Third-Party Product Disclaimers
7.1 Third-Party or Non-Supplied Products
Where an Installation Partner supplies an alternative or third-party product directly to a customer:

The Installation Partner is solely responsible for clearly identifying itself as the supplier of that product.

The Installation Partner assumes full responsibility for handling its own product obligations, warranty arrangements, technical assistance, and after-sales customer support.

No Auto Retrofit Coverage: Auto Retrofit does not provide its voluntary manufacturer warranty or technical support for products that Auto Retrofit did not supply, subject only to non-excludable obligations under the Australian Consumer Law (ACL).
7.2 Labor Costs Exclusion
Auto Retrofit does not cover, reimburse, or compensate Installation Partners or end-user customers for labor, diagnostic, removal, re-installation, or workshop bay costs under any warranty claim, except where explicitly required by law. Partners must communicate their own labor warranty terms directly to referred customers prior to fitting.
8. Intellectual Property & Marketing
Partners are granted a non-exclusive, revocable license to display Auto Retrofit branding and compatibility assets solely for promoting and performing installation services for Auto Retrofit products. Partners may not alter or misrepresent Auto Retrofit branding or claim exclusive territorial rights unless agreed in writing.
9. Termination
Either party may terminate this partner agreement at any time with 14 calendar days' written notice. Auto Retrofit reserves the right to immediately terminate the partnership and remove the Partner from our directory in cases of:

Breach of the referral non-circumvention or customer data protection clauses;

Unresolved customer complaints regarding workmanship, vehicle damage, or privacy misuse; or
-
Failure to maintain required business licenses or insurance policies.
